Job Overview:
Our Client is seeking a highly qualified and business-minded Corporate Counsel II to provide strategic and transactional legal support for our Site Leasing, Connectivity Solutions, Edge, and Energy divisions. This role involves extensive contract negotiation, risk management, and collaboration with internal business teams and external stakeholders to drive complex infrastructure projects forward. The ideal candidate will possess strong commercial transactional experience, particularly in real estate or telecommunications, and a deep understanding of contract structure and compliance.
Compensation and Benefits:
- Base Salary: Up to $150,000 commensurate with experience
- Equity Compensation: $75,000 in Restricted Stock Units (RSUs)
- Vests in equal installments over three years: $25,000/year

Key Responsibilities:
- Preparation, review and negotiation of various customer agreements, including ground leases for new communications tower builds, network infrastructure agreements, DAS & Small Cell venue and carrier licenses, master service agreements and sales orders, leasing/licensing agreements, and letters of intent, as needed to support the Site Leasing Connectivity Solutions, Edge and Energy business teams.
- Preparation, review and negotiation of various supplier agreements, including software license agreements, non-disclosure agreements, back-to-back requirements with suppliers and/or service providers to support leasing/licensing agreements with customers, collaboration and teaming agreements (including consulting services agreements and statements of work), as requested by the Site Leasing, Connectivity Solutions, Edge and Energy business teams.
- Develop and maintain thorough knowledge of all applicable agreements and regularly communicate with internal and external customers and vendors regarding contractual rights and obligations.
- Inform internal and external customers and vendors of project statuses, procedural requirements and changes that impact the business relationship.
- Review of RFPs/RFQs and assist the Site Leasing, Connectivity Solutions, Edge and Energy business teams with preparation of responses to the same.
- Assist the Site Leasing, Connectivity Solutions, Edge and Energy business teams with preparation of approval packages for proposed new business initiatives.
- Collaborate with other departments on due diligence for new business opportunities for the Connectivity Solutions, Edge and Energy business teams.
- Oversee, with the assistance of outside litigation counsel, litigation relating to the Connectivity Solutions, Edge and Energy business lines.
- Ensure process efficiency and accuracy, as well as timely deliverables.
- May direct activities of administrative support staff and legal assistants as assigned by the Senior Director of Legal Operations.
- Other projects and duties as assigned.
Qualifications:

- Juris Doctorate (JD) required.
- Bachelor's degree (BA/BS) required.
- 5+ years of experience as a real estate or telecommunications attorney, with experience drafting and negotiating ground leases and infrastructure agreements.
- Connectivity solutions, DAS & Small Cells, data center, and energy-related contract experience are a plus.
- Strong written and oral communication skills: ability to communicate effectively with internal customers and colleagues and external parties.
- Strong legal drafting skills: attention to detail in the preparation, review and redlining of contracts.
- Strong negotiation skills: ability to effectively negotiate contractual terms and to resolve conflict in relation to contracts and contract compliance.
- Strong organizational skills: ability to accomplish tasks within agreed upon timeframes through effective prioritization of duties and functions.
- Self-motivated: able to work both independently to complete tasks and respond to department requests, as well as collaborating with others to utilize resources and knowledge of others in identifying quality solutions.
- Good follow up skills: ability to track project progress and stay current on project status and milestones.
- Ability to effectively build and maintain working relationships both within the department and throughout the company.
- Strong computer skills; proficient with Microsoft Office Suite including Excel, Word, and familiarity with Access database.
